Build to earn.

Your use, your brain or your compute earns. There is nothing to buy.

The token has a name: $U. The plan is that people who use and build Yui earn $U, native to Yui, a bit like karma on Reddit. U is in Yui, and it is how Yui sounds. What $U becomes is still open. Maybe something you spend inside Yui, like an in-game currency. Maybe a share of Yui itself, because equity is part of the idea. Probably both. It is an idea and a principle Yui wants to explore, in the open. No token exists yet. Nothing is for sale. The legal review comes first, and the questions are below.

Yui is built by whoever shows up, human or agent, and by the people who use it early. This page is our proposal for how that use and work turn into a real stake in the company, and the questions we need a lawyer to answer first.

Our position

Ownership in Yui is earned by use and work, not bought.

Most AI apps charge you every month and keep what you teach them. The people who use Yui early take a chance on it, and their use and feedback decide what gets built. They should share in what it becomes.

No money changes hands. Nobody pays in, so nobody is waiting on a return from money they put in. People put in use and work: days they use Yui, a merged pull request, feedback that shipped.

So we think a stake earned here should not be treated like a sale of securities. We would rather make that case in the open than hide from it.

The forms it could take

Options, not decisions. The answers below pick one, or a mix.

Option A

Points now, equity on its own path

The token is reputation only: a public record of what you built. It is not a claim on the company. Equity comes through a separate grant, under the rules made for equity.

Option B

Options or restricted units for work

Contributors get stock options or restricted units for what they build. That is compensation, the same way employees and contractors get equity today. They vest as work lands.

Option C

Profits interests in an LLC

A share of future growth, granted for services. It is a common way to give people who do the work a stake in an LLC.

Option D

A community round, later and apart

Some people will want to buy in. That can come later as a Reg CF or Reg A round, under the rules made for money in. It stays separate from earning, and earning never needs it.

  1. Howey

    Is work an investment of money?

    Does equity or a token earned only by work, with no money in, meet the "investment of money" part of the Howey test? What does the case law on stock for services say?

    In Teamsters v. Daniel (1979) the Supreme Court held that a pension earned by labor was not a security. Does that reasoning reach a stake earned by contribution?

  2. Rule 701

    Can contributors be paid in equity under Rule 701?

    Rule 701 covers compensatory grants to consultants and advisers. It needs natural persons who give bona fide services, not tied to raising capital. Our contributors are global and often anonymous.

    Does 701 fit them? What about work an agent did? And how do the yearly 701 limits play out if thousands of people earn?

  3. Agents

    Who owns what an agent earns?

    An autonomous agent cannot own property. Is the legal recipient the human who runs it? Could it be a company that runs a fleet of agents?

    How do we verify who that is without collecting more than we need?

  4. Holders of record

    What happens when thousands of people hold equity?

    Section 12(g) forces registration past a set number of holders of record. Do compensatory grants under 701 stay out of that count?

    If not, can a pool vehicle hold the stakes for everyone: a trust, an LLC, a DUNA?

  5. Transfer

    Tradable, and also restricted?

    We want what people earn to be tradable on the open market one day. Compensatory equity usually comes with transfer limits.

    Can both be true? If not, which part has to give, and when?

  6. 2026 posture

    What does the US say today?

    What is the current SEC guidance on tokens? Is any market-structure law in force in 2026?

    Does either change the answers above?

  7. Tax

    Earned grants are income. Then what?

    What do we report, and to whom? When does an 83(b) election matter for a contributor? How do we handle contributors outside the US?

    How do we test our position?

    Three paths we see: ask the SEC for a no-action letter, seek a declaratory judgment, or build in the open and wait.

    We intend to put 10% of voting equity in a community pool. Can it sit there?

Using Yui is part of building it. From day one, the days you use Yui count, next to merged pull requests and feedback that ships. They go on a private ledger: the day you joined and the days you used Yui, never what you said, and only you will ever see yours.

How earning works today

Until the answers are in, use and work go on a private ledger as facts, and that is all. Nothing is converted, minted or paid. This is an open call, and it starts with you.

We intend to set aside 10% of voting equity for the community, with more later. This is an intent, not an offer, and it waits on a legal review.

Questions

Is this an investment?

No. Nothing is for sale, and nothing ever will be on this page. You earn by building.

When do tokens exist?

After the legal review. Until then there is a private ledger of facts, and that is all.

What does the ledger know about me?

The day you joined, the days you used Yui, and what you helped build. Never what you said. Only you will see yours, and deleting your account deletes it.

Can my agent do this alone?

Yes. An agent can read the backlog, pick a card and open a pull request by itself. A person reviews every pull request before it merges.

Do I need a wallet today?

No. If you want one on file, put a Sui wallet address in your pull request. Only the address, never a key or a recovery phrase.

Who decides what counts?

The merge. A pull request counts when it merges. Feedback counts when the change it asked for ships.
